Terms of Service
Effective Date: January 1, 2025
These Terms of Service (“Terms”) govern your use of the website and consulting services provided by Bit & Watt Partners LLC, a Florida limited liability company. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
Bit & Watt Partners LLC provides professional consulting services in technology and energy advisory. All services are described in individual service agreements or proposals issued prior to engagement. Scope, deliverables, and timeline are confirmed in writing before any payment is accepted.
2. Payment Terms
Payment is required as outlined in the applicable proposal or service agreement. We accept payments via Stripe (credit/debit card). All prices are in US Dollars (USD). Invoices must be paid within the timeframe specified in the agreement. Late payments may incur a 1.5% monthly interest charge.
3. Client Responsibilities
Clients agree to provide timely access to necessary information, personnel, and resources required for successful delivery of services. Delays caused by the client may affect timelines without constituting a breach by the Company.
4. Intellectual Property
Upon full payment, the client receives ownership of custom deliverables created for their engagement. The Company retains ownership of all pre-existing methodologies, frameworks, tools, and know-how.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement and not to disclose it to third parties without prior written consent, except as required by law.
6. Limitation of Liability
To the maximum extent permitted by law, the Company’s total liability shall not exceed the fees paid by the client in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
7. Termination
Either party may terminate a service agreement with 30 days written notice. The client shall pay for all work completed to the termination date. Monthly retainer fees for the current month are non-refundable upon client-initiated termination.
8. Governing Law
These Terms are governed by the laws of the State of Florida, USA. Disputes shall be resolved in the courts of Pinellas County, Florida.

Refund Policy
Effective Date: January 1, 2025
This Refund Policy applies to all payments made to Bit & Watt Partners LLC. Because our services involve professional time and expertise, refunds are subject to the conditions below.
1. Advisory Sessions
Sessions may be cancelled and fully refunded if cancellation is made at least 48 hours before the scheduled time. Cancellations within 48 hours are non-refundable. Rescheduling is permitted with at least 24 hours notice.
2. Project Engagements
- Before work begins: Full refund of any advance payment.
- After work has begun: Refund of the unused portion minus the value of work already completed and documented.
- Completed milestones: Non-refundable once approved by the client.
3. Monthly Retainers
Monthly retainer fees are billed at the start of each month and are non-refundable once the month has commenced. Future months may be cancelled with written notice at least 15 days before the next billing date.
4. How to Request a Refund
Contact us at info@bitandwattpartners.com with your name, invoice number, and the reason for your request. We respond within 3 business days. Approved refunds are processed within 5–10 business days to the original payment method via Stripe.
5. Disputes
If you have a concern about a charge, please contact us before initiating a chargeback. We are committed to resolving billing issues fairly and promptly.
